Terms of Service

These Terms of Service ("Terms") are an agreement between you and Web Guy Nick LLC, a California limited liability company in Rialto, California ("BotPickr," "we," "us," or "our"). We operate botpickr.com (the "Site"), a directory of AI bots, agents, and templates. By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

1. What BotPickr is

BotPickr is an independent directory. We list AI bots, agents, templates, and prompts made by other people and companies, and we link out to their sites. We do not make, host, run, or support those tools. A listing is information, not an endorsement, recommendation, or guarantee.

2. Third-party tools and listing accuracy

• We try to keep listings accurate, but we do not promise that any listing, description, feature, rating, price, or availability is correct or current. Tools change, and prices change without notice.
• Always check the tool's own site before you sign up, pay, or share data with it.
• Your use of any third-party tool is a deal between you and that provider. Their terms and privacy policy apply, not ours. We are not responsible for what they do, what they charge, or how they handle your data.
• Nothing on the Site is legal, financial, security, or professional advice.

3. Sponsored listings and affiliate links

Some listings are marked "Sponsored." A sponsor pays us for placement or promotion. Some outbound links are affiliate links, which means we may earn a commission if you click and buy or sign up. That does not change the price you pay.

Sponsorship and affiliate relationships do not mean we have tested or endorsed a tool. We label sponsored placements so you can tell them apart from regular listings. If you see a paid or affiliate relationship that is not labeled, tell us at hello@botpickr.com and we will fix it.

4. No-cost templates and prompts

Templates, prompts, and similar materials we publish on the Site are provided at no cost for your own use, as is. They may contain mistakes. Test them before you rely on them. You may use them in your own work. You may not resell them as a standalone product or republish them in bulk as a competing directory.

5. Submitting a listing or other content

You may send us listing details, descriptions, logos, screenshots, links, and similar material ("Submissions") through the submit-a-listing form or by email.

• You confirm that you own the Submission or have the right to send it, and that it is accurate and does not break the law or anyone else's rights (including copyright, trademark, privacy, and publicity rights).
• You keep ownership of your Submission. You give us a non-exclusive, worldwide, perpetual license, without payment, to use, copy, edit, format, display, and distribute it on the Site and in our marketing, newsletters, and social posts for BotPickr.
• Submitting does not guarantee we will publish a listing. We may accept, edit, reject, reorder, or remove any listing at any time, for any reason, with or without notice.
• Do not submit anything that is false or misleading, that spreads malware, or that you do not have the right to share.

6. Sponsors

These terms apply to anyone who pays for a sponsored placement, a fast-track review, or any other paid promotion on BotPickr ("Sponsor Services").

• Scope. A sponsorship buys the placement or service described in the written quote, invoice, or confirmation email. We do not guarantee clicks, traffic, signups, sales, or rankings.
• Labeling. We will label sponsored placements as "Sponsored" or similar. You may not ask us to hide that label.
• Content standards. Your listing and linked page must be accurate, lawful, and not misleading. You are responsible for any claims you make.
• Fast-track fees. Fast-track review fees are non-refundable once we begin review. Fast-track speeds up review. It does not guarantee approval.
• Other fees. Unless the written quote or confirmation says otherwise, Sponsor Services fees are non-refundable once the placement goes live. If we cannot deliver the placement you paid for, we will offer a replacement placement or a refund of the unused portion, at our choice.
• Right to remove. We may decline, pause, or remove any sponsored listing at any time if it breaks these Terms, is inaccurate or harmful, draws complaints, or no longer fits the Site. If we remove a listing for our own convenience before the paid period ends, we will refund the unused portion. If we remove it because you broke these Terms, we do not owe a refund.
• Taxes and payment. You pay any taxes that apply. Payment terms will be stated in the invoice or confirmation.

Nothing in this section limits any right you have under California law that cannot be waived.

7. Acceptable use

You agree not to:

• break the law or use the Site to help someone else break it
• scrape, crawl, or copy the Site in bulk, or build a competing directory from our content
• interfere with or overload the Site, or try to get around its security
• send spam, malware, or false or abusive messages through our forms
• pretend to be another person or company
• submit false listings, fake reviews, or misleading claims

We may block access or remove content if we think you are breaking these rules.

8. Intellectual property

The Site's design, text, code, graphics, logo, and compilation of listings belong to Web Guy Nick LLC or its licensors and are protected by law. Third-party names, logos, and marks on the Site belong to their owners. We use them only to identify the tools we list. You may link to the Site and quote small parts with credit. Any other use needs our written permission.

9. Copyright complaints (DMCA)

If you believe content on the Site infringes your copyright, email hello@botpickr.com with the subject line "Copyright Notice" and include:

1. your name and contact details
2. a description of the copyrighted work
3. the exact URL on the Site where the material appears
4. a statement that you have a good-faith belief the use is not authorized by the owner, its agent, or the law
5. a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner
6. your physical or electronic signature

We will review notices and may remove the material. We may pass your notice to the person who submitted the material. We may end access for repeat infringers. If you believe we removed something by mistake, you may send us a counter-notice with your contact details, the URL, a statement under penalty of perjury that you believe the removal was a mistake, and your consent to the courts where you live.

10. Disclaimer of warranties

The Site and everything on it are provided "as is" and "as available." To the fullest extent California law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not promise that the Site will be uninterrupted, error-free, or secure, or that any third-party tool will work, be safe, or meet your needs.

Some places do not allow certain warranty disclaimers, so some of this may not apply to you.

11. Limitation of liability

To the fullest extent California law allows:

• Web Guy Nick LLC, its owner, and its contractors are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, arising from your use of the Site or any third-party tool you find through it.
• Our total liability to you for any claim related to the Site is limited to the greater of $100 or the amount you paid us in the 12 months before the claim (for example, a sponsorship fee).

These limits do not apply where California law does not allow them, including liability for fraud or willful misconduct.

12. Indemnity

If you submit content or use the Site in a way that breaks these Terms or someone else's rights, you agree to cover reasonable losses and legal costs that a third party's claim causes us because of that, to the extent California law allows.

13. Privacy

Our Privacy Policy explains what information we collect and how we use it. It is part of these Terms.

14. Governing law and where disputes go

California law governs these Terms, without regard to its conflict-of-laws rules. Any dispute about the Site or these Terms will be handled in the state courts located in San Bernardino County, California, or the federal court that covers that county. You and we agree to those courts. Small claims court is available to either of us where it applies.

15. Changes to the Site and these Terms

We may change, pause, or end any part of the Site at any time. We may update these Terms from time to time. We will post the new version here and change the effective date. If a change is material, we will give notice on the Site or by email to anyone who has a sponsor agreement with us. If you keep using the Site after a change takes effect, you accept the new Terms. If you do not agree, stop using the Site.

16. Other terms

• If a part of these Terms cannot be enforced, the rest stays in effect.
• If we do not enforce a right right away, we have not given it up.
• You may not transfer your rights under these Terms without our written consent. We may transfer ours as part of a sale or reorganization of the business.
• These Terms, plus any written sponsor quote or confirmation, are the whole agreement between you and us about the Site.
